These Terms of Service ("Terms") govern your use of the website and services of Carmel Lane Ventures LLC ("Carmel Lane Ventures," "we," "us," or "our"). By using our website or engaging our services, you agree to these Terms.

1. Our Services

We provide websites and AI automation for local businesses, including AI phone receptionists, online booking, review and reputation tools, and lead follow-up automation. Specific deliverables, pricing, and scope are set out in the package or written proposal you agree to.

2. Estimates & Engagement

Pricing shown on our website reflects standard packages. Custom work is quoted in writing. A project or subscription begins once you accept a proposal and, where applicable, pay the agreed setup or build fee.

3. Fees & Payment

• One-time build/setup fees are due as stated in your proposal before work begins, unless otherwise agreed.
• Monthly plans are billed in advance and recur until cancelled.
• Plans are month-to-month; you may cancel at any time, effective at the end of the current billing period. Fees already paid are non-refundable except as required by law.
• Payments are processed by our third-party payment provider; your use of payment services is subject to their terms.

4. Client Responsibilities

• Provide accurate business information and the content and access we need to deliver the services.
• Ensure you have the rights to any content you supply.
• Use the services lawfully. If you direct messages to your own customers, you are responsible for obtaining their consent and complying with all applicable telemarketing, messaging, and privacy laws.

5. Intellectual Property

We retain ownership of our software, templates, configurations, and underlying tools. Upon full payment, you own the content you provide and receive a license to use the website and deliverables created for your business. You may not resell or redistribute our underlying tools or systems.

6. Third-Party Services

Our services rely on third-party platforms (for example, telephony, voice-AI, hosting, and payment providers). Their availability and performance are outside our control, and your use of those features may be subject to their terms.

7. Acceptable Use

You agree not to use our services for any unlawful, harmful, deceptive, or abusive purpose, including sending unsolicited or non-compliant messages.

8. Disclaimers

Our services are provided "as is" and "as available." We do not warrant any specific number of leads, sales, rankings, or results. To the fullest extent permitted by law, we disclaim all implied warranties.

9. Limitation of Liability

To the fullest extent permitted by law, Carmel Lane Ventures will not be liable for any indirect, incidental, special, or consequential damages. Our total liability for any claim arising from the services will not exceed the amount you paid us for the services in the three (3) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Carmel Lane Ventures from claims arising out of your content, your use of the services, or your violation of these Terms or applicable law.

11. Term & Termination

We may suspend or terminate services for non-payment or breach of these Terms. Either party may end a month-to-month engagement as described in Section 3.

12. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Pennsylvania.

13. Changes to These Terms

We may update these Terms from time to time. The revised version will be posted here with an updated "Last updated" date, and continued use of the services constitutes acceptance.
